3. Reservations, Orders, and Payment
Reservations and orders made through the Services may be processed by third-party platforms (such as Resy or our online ordering provider). Your use of those platforms is subject to their respective terms. Pricing, availability, menu items, and hours are subject to change without notice. We reserve the right to refuse, cancel, or modify any reservation or order at our discretion, including in cases of suspected fraud, unauthorized use, or error.
You agree to pay all charges incurred in connection with your reservations and orders, including taxes, fees, and gratuities, at the prices in effect when the charge was incurred. Cancellation, no-show, and refund policies are governed by the terms of the third-party platform processing your reservation or order, except where required otherwise by law.
4. Gift Cards and Promotions
Gift cards, vouchers, and promotional offers are subject to additional terms displayed at the point of purchase or distribution. Unless otherwise required by law, gift cards and promotional credits are non-refundable, non-transferable, and may not be redeemed for cash. The trademarks, service marks, and trade names of Pizzeria Sei may not be used without our prior written permission. Nothing in these Terms grants you any license or right to use any of these materials except as expressly permitted herein.
6. User Submissions
If you submit reviews, comments, photographs, suggestions, ideas, or other content to us or through the Services (“User Submissions”), you grant us a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, publish, translate, distribute, publicly display, publicly perform, and create derivative works from your User Submissions in any media for any purpose, including marketing and promotional purposes. You represent and warrant that you own or have the necessary rights to grant this license and that your User Submissions do not infringe any third-party rights.
7. Third-Party Services and Links
The Services may contain links to or integrate with third-party websites, products, and services that we do not own or control. We are not responsible for the content, policies, or practices of any third party. Your use of any third-party service is at your own risk and subject to that service’s terms.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Allergens and Food Safety
Our food is prepared in a kitchen that handles common allergens including, but not limited to, wheat, gluten, dairy, eggs, nuts, soy, sesame, and shellfish. While we make reasonable efforts to accommodate dietary requests, we cannot guarantee that any item is free from cross-contact with allergens. Customers with food allergies, sensitivities, or dietary restrictions assume the risk of consuming our food and should inform us of any concerns at the time of reservation or ordering. Consuming raw or undercooked meats, poultry, seafood, shellfish, or eggs may increase your risk of foodborne illness.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PIZZERIA SEI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUES, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless Pizzeria Sei, its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to (i) your violation of these Terms, (ii) your use or misuse of the Services, (iii) your violation of any law or third-party right, or (iv) any User Submissions you provide.
12. Termination
We may suspend or terminate your access to the Services, or any portion thereof, at any time and for any reason, with or without notice. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any action arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
14. Dispute Resolution; Class Action Waiver
Except for disputes that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall, at the election of either party, be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. You and Pizzeria Sei agree that disputes will be resolved on an individual basis and not as part of a class, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. You may opt out of this arbitration provision by sending written notice to the address below within thirty (30) days of first accepting these Terms.
15. Changes to These Terms
We may modify these Terms at any time by posting the revised Terms on the Services and updating the “Effective” date. Your continued use of the Services after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
16. Severability and Waiver
If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. No waiver of any term will be deemed a further or continuing waiver of such term or any other term.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Pizzeria Sei concerning the Services and supersede all prior or contemporaneous communications and proposals between us.
